Terms of Service

The terms that govern your use of the Pactinel website and service, including accounts, plans, customer data, acceptable use, liability and termination.

Reviewed on October 22, 20266 min read

These Terms of Service ("Terms") are an agreement between you and the company named in the Imprint ("Pactinel", "we", "us"). They govern your use of the Pactinel website, the Pactinel workspace application and related services (the "Service"). If you accept these Terms for an organization, you confirm that you may bind it, and "you" means that organization.

1. The Service

Pactinel is software for managing contracts after signature: it stores documents, extracts data with AI, computes deadlines, obligations and price changes, and creates tasks, alerts and reports. Features depend on your plan. Features marked as coming soon are not part of the Service until released.

2. Accounts and workspaces

You must provide accurate information and keep your credentials confidential. You are responsible for activity under your account. Verify your email address before using the Service. Owners and Admins should use two-step verification, which is required for some actions. Tell us promptly if you suspect unauthorized access.

You must be at least 18 and acting for a business or professional purpose. A person who creates a workspace is its Owner and decides who has access. Users you invite in non-editing roles (task owners, approvers, viewers, auditors) do not need a paid seat. Free plans may be limited to one workspace per email domain and may require a work email address.

3. Plans, trials and fees

Plans, limits and prices are shown on the pricing page. New workspaces start with a 14-day trial of Business features without a card; at the end the workspace moves to the Free plan, nothing is deleted, and contracts above the Free limit become read-only. Paid plans are billed as described in the Pricing, Billing and Refunds terms. Paddle is our merchant of record and reseller, and your purchase is governed by Paddle's buyer terms in addition to these Terms.

4. Your data

You own your contract documents, the data extracted from them and everything else you put into the Service ("Customer Data"). You grant us a limited licence to host, copy, process and display Customer Data only as needed to provide the Service to you, to keep it secure and to meet legal obligations. We do not use Customer Data to train any AI model or for any other purpose.

You are responsible for the lawfulness of Customer Data, for having the right to upload it, and for informing the people it concerns where the law requires. Where Customer Data contains personal data, the Data Processing Agreement applies. Avoid uploading special categories of personal data unless you need to; the Service can warn you and suggest masking.

You can export your data at any time, including a full archive for the Owner with two-step verification, also after a subscription has ended. We host Customer Data in the EU (Germany); AI extraction runs on a US-hosted provider as described in the AI Terms and on the Subprocessors page, which lists every subprocessor and its country.

5. Acceptable use

You must follow the Acceptable Use Policy. We may suspend access that threatens the security of the Service or other customers, or that clearly breaches that policy, and will limit a suspension to what is necessary and tell you why where we can.

6. AI features

AI extraction and question answering are optional aids. Outputs may be incomplete or wrong. A person must verify them, and critical fields must be verified before a contract becomes active. The AI Terms apply.

Pactinel is not a law firm and does not give legal advice. Deadlines, notice dates, indexation, interest and other figures that Pactinel calculates, and notice drafts it prepares, are aids that depend on the data you and the AI entered and on assumptions such as holiday calendars and delivery rules. You must verify each result against the contract and the applicable law before you rely on it. You remain responsible for sending notices and meeting deadlines.

8. Availability and support

We work to keep the Service available but do not promise uninterrupted or error-free operation. The SLA and Support terms describe support response targets and state that there is no contractual uptime commitment.

9. Our intellectual property

We and our licensors own the Service, its software, design and content, other than Customer Data. We grant you a non-exclusive, non-transferable right to use the Service during your subscription under these Terms. Feedback you give us may be used by us without restriction. You may not copy, reverse engineer or resell the Service except as the law permits.

10. Confidentiality and security

Each party will keep the other's non-public information confidential and use it only for the Agreement. We apply technical and organizational measures described on our Security page. You must keep your own systems and credentials secure.

11. Warranties and disclaimers

We will provide the Service with reasonable skill and care. To the extent the law allows, we make no other warranty. The Service is otherwise provided "as is" and "as available", and we do not warrant that it will be error-free, that AI output will be accurate or that it will meet your particular requirements. Consumer or mandatory rights that cannot be excluded remain unaffected.

12. Liability

Nothing in these Terms limits liability that cannot be limited by law, including liability for intent, gross negligence, personal injury or death, or fraud.

Subject to that, to the extent the law allows: (a) neither party is liable for indirect or consequential loss, loss of profit, revenue, goodwill or anticipated savings; and (b) our total liability for all claims arising out of or relating to the Service in any 12-month period is limited to the fees you paid to us for the Service in the 12 months before the event that gave rise to the claim.

You acknowledge that deadlines and notices have consequences that depend on your contracts and on facts we cannot see, and that you are responsible for verifying results as described in section 7.

13. Indemnity

You will defend us against third-party claims that Customer Data or your use of the Service in breach of these Terms infringes rights or breaks the law, and pay damages finally awarded or agreed in settlement, provided we notify you promptly, let you control the defense and cooperate reasonably.

14. Term, cancellation and termination

These Terms apply from the day you first use the Service until your account is closed. You can cancel a subscription at any time in the workspace; it ends at the end of the paid period. You can close a workspace at any time. After closure, data remains read-only for 30 days and is then deleted, except where the law requires us to keep it; invoices are held by Paddle. You can export your data before and during that period.

We may terminate for material breach that is not remedied within 14 days of notice, or immediately for serious or repeated breaches of the Acceptable Use Policy or for non-payment after the grace period described in the billing terms. We may discontinue the Service as a whole on at least 90 days' notice and refund prepaid fees for the period after discontinuation.

15. Changes

We may change these Terms for good reasons, such as new features, legal changes or security. We will give at least 30 days' notice by email or in the Service before a material change takes effect. If you do not agree, you can cancel before it takes effect and receive a refund of prepaid fees for the remaining period. Price changes follow the billing terms.

16. Governing law and disputes

These Terms are governed by the law of the jurisdiction stated in the Imprint, excluding its conflict-of-law rules, and disputes are subject to the courts stated there. Mandatory consumer protection rules of your country of residence are not affected where they apply. Please contact us first so that we can try to resolve a problem informally.

17. General

These Terms, the documents they refer to and your order form form the entire agreement. If a provision is invalid, the rest stays in force. You may not assign the Terms without our consent; we may assign them to a successor of our business with notice. Our failure to enforce a right is not a waiver. Notices to you may be sent to the email address of your account. Notices to us go through the contact page and to the address in the Imprint. Neither party is liable for delay caused by events beyond its reasonable control.

18. Contact

Questions about these Terms can be sent through the contact page. The company, address and registration details are in the Imprint.
