Initial term
Short answer
The initial term is the first fixed period of a contract, running from the effective date or start date until the agreement either expires or enters a renewal term. It defines the minimum commitment, and early exit before it ends usually requires a termination right or payment of the remaining fees.

The initial term (sometimes "minimum term" or "committed term") is the period for which both parties have agreed to be bound.
What it affects
- Commitment. Fees for the whole initial term are usually due even if usage drops.
- Pricing. Discounts are often tied to a longer initial term.
- First deadline. The notice period for non-renewal is counted back from the end of the initial term.
- Start date. The term may begin on signature, on the effective date, or on go-live, which can differ by weeks or months.
Example
"The initial term begins on the Effective Date and continues for 36 months."
If the effective date is March 1, 2026, the initial term ends on February 28, 2029 (end of day), and the first renewal term begins on March 1, 2029. With a 90-day notice period, the non-renewal deadline is around November 30, 2028.
Watch for
- Ambiguity between signature date and service start date.
- Order forms with their own terms that differ from the master agreement. See order form.
- A renewal term that is longer than the initial term.
